Legal Counsel
Eligibility Criteria
Candidates should have:
- 4+ years of post-qualification experience (PQE)
- Experience in complex commercial contract drafting and negotiation
- Experience with cross-border transactions and multi-jurisdictional legal matters
- Exposure to M&A, fundraising, strategic partnerships, or corporate transactions
- Understanding of corporate governance and secretarial matters
- Experience in cloud computing, AI infrastructure, data centres, technology, or digital infrastructure is strongly preferred
- Familiarity with Singapore and APAC regulatory frameworks is an advantage
- Strong commercial judgment and ability to provide practical, business-oriented legal advice
Areas of Work / Key Responsibilities
Commercial Contracts
- Draft, review, negotiate, and execute customer and vendor agreements
- Handle AI/GPU infrastructure, data processing, data centre, co-location, and utility agreements
- Review NDAs, SaaS, procurement, and technology agreements
- Develop contract templates, playbooks, SOPs, and negotiation guidelines
- Work with Finance, Commercial, Product, Procurement, and Leadership teams to manage legal risks
Corporate and Strategic Transactions
- Support M&A, fundraising, joint ventures, and strategic partnerships
- Coordinate legal due diligence across jurisdictions
- Assist with transaction execution
- Support corporate governance, including board resolutions, shareholder documentation, cap table management, and statutory filings
Regulatory and Compliance
- Advise on regulatory and operational issues relating to cloud infrastructure, AI platforms, data centres, and neo-cloud businesses
- Monitor regulatory developments across Singapore and the wider APAC region
- Strengthen internal compliance processes and mitigate legal and operational risks
