Eligibility Criteria
Applicants should possess:
- LL.B. from a recognized law school.
- LL.M. or specialization in Corporate/Commercial Law is desirable.
- 2–3 years of experience for the Associate position or 3–5 years of experience for the Senior Associate position in Corporate Law, Private Equity/Venture Capital transactions, or M&A.
- Strong understanding of the Companies Act, FEMA, SEBI Regulations, and general corporate-commercial laws.
- Prior experience in a law firm handling Private Equity, Venture Capital, M&A, or commercial transactions (mandatory).
- Experience in drafting and negotiating investment documents such as Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), term sheets, and commercial agreements.
- Experience in due diligence, transaction structuring, and regulatory compliance.
- Familiarity with the start-up ecosystem, ESOPs, cap tables, and fund investments is preferred.
- Strong legal research, analytical, drafting, and client management skills.
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
- Drafting and reviewing investment documents, shareholder agreements, commercial contracts, and transaction documentation.
- Conducting legal research on corporate, regulatory, and data privacy laws.
- Advising clients on private equity, venture capital investments, fund-related matters, and M&A transactions.
- Assisting with legal due diligence and transaction structuring.
- Ensuring regulatory compliance for start-ups, investors, and high-growth companies.
- Managing client communications and providing strategic legal solutions throughout the business lifecycle.
