Legal Job Opportunity – Legal Advisory (Investment Banking)
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
- Leading legal due diligence for equity and debt fundraising, mergers and acquisitions, and joint ventures.
- Drafting and reviewing investment agreements, share purchase agreements, term sheets, and shareholder agreements.
- Advising on SEBI regulations, including ICDR and LODR Regulations, FEMA compliance, and RBI guidelines relating to foreign investment and cross-border transactions.
- Coordinating with external counsel and internal investment banking teams to ensure timely transaction execution.
- Preparing and reviewing board minutes, ESOP documentation, and corporate governance records.
- Conducting training sessions for investment banking teams on legal aspects of deal structuring and regulatory developments.
Eligibility Criteria
Essential Skills
- Expertise in SEBI Regulations.

Preferred Qualifications
- Experience with LLP and Section 8 Company structuring.

- Working familiarity with LexisNexis or SCC Online for legal and regulatory research.
