Eligibility Criteria
Essential Qualifications
Applicants should:
- Hold a Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from an accredited institution.
- Be admitted to practice law in the relevant jurisdiction.
- Have a minimum of 5 years of post-admission experience in corporate, commercial, or in-house legal practice.
- Demonstrate experience in:
- Commercial contracts
- Corporate governance
- Regulatory compliance
- Employment law
- FEMA compliance, including FDI, ODI, ECB, RBI reporting, and cross-border transactions
- Goods and Services Tax (GST) relating to procurement, manufacturing, exports of services, reverse charge mechanism, and input tax credit
- Indian transfer pricing regulations, including Form 3CEB coordination
- Possess strong commercial judgment, organizational skills, and professional integrity.
Preferred Qualifications
- Experience advising organizations operating across multiple jurisdictions.
- Experience working in internationally distributed organizations.
- Knowledge of mergers and acquisitions, intellectual property, data privacy, and corporate governance.
- Experience managing external legal counsel and cross-functional teams.
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
Corporate Governance & Compliance
- Advising on corporate governance and statutory compliance.
- Managing board governance, corporate records, shareholder matters, and statutory filings.
- Drafting governance documents, board resolutions, policies, and meeting minutes.
- Monitoring legislative and regulatory developments.
Commercial Contracts & Legal Advisory
- Drafting, reviewing, negotiating, and advising on:
- Supplier Agreements
- Consultancy Agreements
- Service Agreements
- Partnership Agreements
- Licensing Agreements
- Confidentiality Agreements
- Non-Disclosure Agreements (NDAs)
- Other commercial contracts
- Identifying legal and commercial risks while providing practical business solutions.
- Developing and maintaining contract templates and legal precedents.
Litigation & Dispute Resolution
- Managing litigation, arbitration, regulatory proceedings, and dispute resolution matters.
- Coordinating with external legal counsel.
- Advising leadership on litigation strategy and legal risk mitigation.
Corporate Transactions
- Supporting mergers and acquisitions, joint ventures, restructures, investments, and strategic transactions.
- Conducting legal due diligence and transaction documentation.
- Advising management on regulatory and governance implications.
Employment & Workforce Advisory
- Advising management and Human Resources on employment contracts, workplace disputes, and labour law compliance.
- Supporting employee relations and workplace legal risk management.
Intellectual Property Management
- Advising on the protection, registration, and enforcement of intellectual property.
- Drafting IP licensing, confidentiality, assignment, and related agreements.
- Coordinating with external intellectual property counsel.
Strategic Legal Advisory
- Acting as a trusted legal advisor to executive leadership.
- Supporting strategic business initiatives through commercially focused legal advice.
- Developing scalable legal processes and governance frameworks.
Mode of Work
- Hybrid (Office-based role with flexibility)
- Location: Trivandrum, Kerala
- Employment Type: Full-time
- International travel may be required from time to time.
Salary
- Compensation: Up to ₹15,00,000 per annum, depending upon experience and current remuneration.
