Position: Associate / Senior Associate
Eligibility Criteria
Applicants must:
- Hold an LL.B. degree from a recognized law school.
- LL.M. or specialization in Corporate/Commercial Law will be an added advantage.
- Have 2–3 years of experience for the Associate position.
- Have 3–5 years of experience for the Senior Associate position.
- Possess prior law firm experience in Private Equity, Venture Capital, M&A, or Commercial Transactions.
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
- Drafting and reviewing investment documents, shareholder agreements, commercial contracts, and transaction-related documentation.
- Advising on private equity and venture capital investments, fund-related matters, and M&A transactions.
- Conducting legal research on corporate, regulatory, and data privacy laws.
- Assisting with due diligence exercises and transaction structuring.
- Supporting regulatory compliance requirements for clients.
- Managing client communications and providing strategic legal solutions.
- Working closely with founders, investment funds, and family offices on business and investment transactions.
Required Skills and Expertise
Candidates should possess:
- Strong understanding of the Companies Act, FEMA, SEBI Regulations, and corporate-commercial laws.
- Experience in drafting and negotiating SHA, SSA, SPA, term sheets, and commercial agreements.
- Knowledge of due diligence, transaction structuring, and regulatory compliance.
- Familiarity with start-up ecosystems, ESOPs, cap tables, and fund investments.
- Excellent legal research and legal opinion drafting skills.
- Strong communication, analytical, and problem-solving abilities.
- Ability to manage multiple assignments in a fast-paced transactional environment.
