Legal Job Opportunity – Corporate Counsel II
Eligibility Criteria
Applicants must:
- Be a Member of the Institute of Company Secretaries of India (ICSI).
- Have a minimum of 5 years of relevant experience, preferably with a multinational organization.
- Possess strong knowledge of corporate governance, secretarial compliance, and applicable corporate laws.
Areas of Work / Key Responsibilities
- Ensure compliance with Secretarial Standards, the Companies Act, and the Foreign Exchange Management Act (FEMA).
- Develop and oversee systems to ensure compliance with applicable laws and regulations.
- Monitor regulatory and statutory changes and update internal policies accordingly.
- Advise on corporate governance matters and support governance best practices.
- Liaise with regulators, auditors, and other external professionals.
- Convene and administer Board Meetings and Shareholders’ Meetings.
- Prepare agendas, minutes, resolutions, and meeting-related correspondence.
- Maintain statutory registers, books, and corporate records.
- Handle annual and event-based filings with the Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), and other regulatory authorities.
- Coordinate with law enforcement agencies and investigation authorities in relation to VMN fraud handling efforts.

Key Skills & Competencies
- Strong knowledge of Secretarial Standards, the Companies Act, and FEMA.
