Legal Job Opportunity (Associate – Corporate / M&A Practice)
Eligibility Criteria
- Candidates with 2–4 years of Post Qualification Experience (PQE) in General Corporate or M&A practice.
- CS + LL.B. qualification is mandatory.
- Prior experience at Tier-1 or Tier-2 law firms is desirable.
- Strong drafting, negotiation, analytical, and client-management skills.
- Exposure to employment law will be considered an added advantage.
Areas of Work / Key Responsibilities
- Drafting, reviewing, and negotiating transaction documents such as Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Business Transfer Agreements (BTA), term sheets, and related documents.
- Working on Private Equity, Venture Capital, and M&A transactions, primarily involving unlisted companies.
- Handling end-to-end execution and closing of transactions, including coordination with clients, counterparties, and internal teams.
- Conducting and leading legal due diligence exercises and preparing diligence reports.
- Advising on corporate governance, regulatory compliance, and corporate law matters.
- Demonstrating strong understanding of Companies Act, 2013, SEBI regulations (including LODR and PIT Regulations), and foreign exchange laws.
- Supporting corporate advisory work and transaction negotiations.
