Position
- Associate – Corporate Practice (Defence Sector)
Eligibility Criteria
Applicants should possess:
- A Degree in Law.
- At least 2 years of experience in a law firm advising on Corporate Law and/or M&A matters, or in the in-house legal department of defence producers.
- Experience in corporate restructurings, investment projects, or transactional work.
- Strong understanding of corporate governance and business structuring.
- Upper-Intermediate or higher proficiency in English.
- Ability to work independently and manage assigned workstreams.
- Strong analytical, legal drafting, and attention-to-detail skills.
Preferred Qualifications
- Experience advising clients in the defence, manufacturing, technology, or engineering sectors.
- Experience in investment transactions and fundraising projects.
- Knowledge of the regulatory framework governing defence industry businesses.
- Experience working with foreign investors and international corporate structures.
Areas of Work / Key Responsibilities
- Advise clients on corporate law matters.
- Support business incorporations, reorganizations, and corporate restructurings.
- Draft constitutional documents, corporate resolutions, shareholders’ agreements, and other corporate documentation.
- Provide legal support on investment projects and M&A transactions in Ukraine and internationally.
- Conduct legal due diligence.
- Assist in structuring Ukrainian and international corporate groups.
- Prepare legal memoranda, legal opinions, and advisory documents.
- Advise defence sector companies on corporate and regulatory matters.
- Liaise with government authorities, counterparties, and external advisers.
