Eligibility Criteria
Applicants should possess:
- A Juris Doctor (J.D.) degree from an accredited law school with strong academic credentials.
- Active membership and good standing with at least one U.S. State Bar.
- 1–3 years of experience for entry-level/junior roles or 4–7+ years for mid-level and senior positions in real estate transactions.
- Strong understanding of real property law, land use and zoning, secured transactions, and contract law.
- Experience drafting and negotiating real estate agreements and loan documentation.
- Excellent legal research, drafting, organizational, communication, and matter management skills.
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
- Drafting, reviewing, and negotiating purchase and sale agreements, commercial leases, ground leases, and option agreements.
- Conducting real estate due diligence, including title review, survey review, zoning analysis, land use assessments, environmental reviews, and lease abstraction.
- Structuring and documenting real estate finance transactions, including mortgage loans, construction financing, mezzanine financing, and refinancing.
- Advising clients on land use, zoning, subdivision, permitting, and development matters.
- Coordinating property closings with title companies, escrow agents, lenders, and external counsel.
- Advising on property management issues, landlord-tenant disputes, and real estate-related legal risks.
- Supporting corporate transactions involving real estate portfolios, sale-leaseback transactions, joint ventures, and REIT-related matters.
Preferred Skills
Preference may be given to candidates with experience in:
- Commercial real estate development and entitlement processes.
- Construction contracts and public-private partnership (PPP) projects.
- Real estate investment structures, including REITs, private equity funds, and joint ventures.
- Legal technology tools, virtual data rooms, document automation platforms, and e-signature systems.
- Representing lenders, institutional investors, or portfolio owners in multi-property and cross-border transactions.
- Coordinating with planners, engineers, brokers, and environmental consultants on complex real estate projects.
