Position: Legal Counsel, India
Eligibility Criteria
Applicants should:
- Possess strong academic credentials.
- Hold an Associate Company Secretary (ACS) qualification.
- Have 5–7 years of experience in:
- Secretarial compliance
- Corporate governance
- Commercial legal matters
- Experience gained in a law firm and/or an in-house legal team of a local or multinational company is preferred.
- A law degree from a recognized institution in India will be an added advantage.
- Familiarity with the automotive industry is desirable.
- Prior exposure to Intellectual Property matters will be an advantage.
- Demonstrate strong English communication skills.
Areas of Work / Key Responsibilities
The selected candidate will be responsible for:
Secretarial and Corporate Governance Functions
- Conducting Board Meetings, Annual General Meetings, and Extraordinary General Meetings.
- Drafting and vetting agendas, minutes, annual reports, directors’ reports, and related documentation.
- Filing statutory forms, returns, applications, and other regulatory documents on behalf of the company.
- Maintaining statutory registers, secretarial records, and corporate books.
- Managing matters relating to securities, dividends, transfers, conversions, and related compliances.
- Liaising with the Registrar of Companies (ROC).
- Advising management on compliance requirements under the Companies Act, 2013.
- Overseeing statutory compliances as a Key Managerial Personnel (KMP) and reporting compliance status to the Board.
Legal and Commercial Functions
- Providing legal advice to the India Legal Director and APAC Legal Team.
- Negotiating, drafting, reviewing, and vetting commercial agreements.
- Supporting development, licensing, and other commercial transactions.
- Participating in joint ventures, mergers and acquisitions, and other corporate transactions.
- Advising Human Resources and Finance teams on legal matters.
- Delivering legal and compliance training to employees.
- Supporting compliance reviews, internal investigations, and risk management initiatives.
