Position: Legal Associate
Eligibility Criteria
Candidates should possess:
- LL.B. or LL.M. degree from a recognized institution.
- 2–3 years of post-qualification experience (PQE).
- Experience at a reputed law firm (Tier 1/Tier 2) and/or an in-house legal team within the financial services sector.
- Prior exposure to SEBI AIF Regulations, fund documentation, or financial sector compliance is strongly preferred.
- Hands-on experience in drafting and reviewing debt and equity transaction documents.
- Exposure to investor management and fund subscription documentation will be an added advantage.
Areas of Work / Key Responsibilities
Investor Management & Fund Documentation
- Draft, review, and manage execution of contribution agreements, side letters, investor questionnaires, transfer and assignment documents.
- Maintain investor documentation trackers and coordinate with investor relations and operations teams during fund closings.
- Handle day-to-day investor legal queries.
- Assist with updates to Private Placement Memorandums (PPMs), fund rules, and constitutional documents.
Debt & Equity Transactions
- Draft and review debt transaction documents, including:
- Term Sheets
- Debenture Trust Deeds
- Loan Agreements
- Security Documents
- Corporate Guarantees
- Inter-Creditor Agreements
- Monitoring Covenants
- Draft and review equity investment documents, including:
- Term Sheets
- Share Subscription Agreements (SSAs)
- Shareholders’ Agreements (SHAs)
- Board and Shareholder Resolutions
- Closing Documentation
- Coordinate with portfolio companies, co-investors, and external counsel during deal execution and closings.
- Manage transaction trackers, closing checklists, and post-closing documentation.
General Legal & Corporate Support
- Review and negotiate vendor contracts, NDAs, MOUs, service agreements, and technology/SaaS contracts.
- Assist the Head of Legal on advisory matters and internal legal queries.
- Support compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), including data processing agreements and vendor privacy assessments.
- Assist with employment-related documentation, including offer letters, employment contracts, HR policies, and ESOP documentation.
