Position: Legal Counsel
Eligibility Criteria
- Bachelor’s or Master’s Degree in Law from an accredited law school.
- Must be admitted to practice law in India.
- Minimum 10 years of post-qualification legal experience.
- Additional professional or academic legal qualifications will be an advantage.
- Strong drafting, negotiation, and stakeholder management skills.
- Prior in-house legal experience with multinational corporations or leading Indian companies is preferred.
Areas of Work / Key Responsibilities
Commercial Contracts & Business Advisory
- Draft, review, and negotiate a wide range of agreements, including:
- Supply Agreements
- Distribution Agreements
- Wholesaler Agreements
- Co-Marketing and Co-Promotion Agreements
- Product Licensing Agreements
- Clinical Trial Agreements
- Post-Marketing Survey Agreements
- Investigator-Initiated Study Agreements
- Donation Agreements
- Speaker Engagement Agreements
- Employment Agreements
- Non-Disclosure Agreements (NDAs)
- Provide strategic and operational legal support to business teams.
- Support acquisition, licensing, and new business development transactions through due diligence, negotiations, and documentation.
Compliance, Governance & Risk Management
- Identify and manage legal and governance risks across business operations.
- Develop policies, procedures, training programs, and compliance frameworks.
- Advise on applicable laws, regulations, and industry codes.
- Support adherence to:
- Code of Business Conduct
- Foreign Corrupt Practices Act (FCPA)
- Health Care Compliance requirements
- Health Care Business Integrity Guide
- Collaborate with Healthcare Compliance teams to ensure ethical business practices.
Intellectual Property & Brand Protection
- Coordinate with global IP teams on trademark and patent matters.
- Support brand protection initiatives.
- Advise on trademark enforcement, counterfeit prevention, grey market issues, copy clearance materials, and internet-related activities.
Litigation & Regulatory Matters
- Manage litigation initiated by and against the company across India and South Asia.
- Coordinate with external counsels and law firms.
- Support internal and external investigations.
- Monitor legal and regulatory developments affecting the pharmaceutical industry and provide updates to leadership.
Cross-Functional Legal Support
Provide legal advice and risk management support to:
- Human Resources
