Position: Legal Counsel & Company Secretary
Nature: Full-time
Location: Pune District, Maharashtra

Eligibility Criteria
Candidates must meet the following requirements:
- Minimum qualification: LL.B. along with Company Secretary (CS)
- At least 3 years of relevant experience as an in-house legal counsel and/or at a law firm handling company matters
- Excellent knowledge of corporate laws, including the Companies Act and RBI compliance
- Knowledge of contracts governed by UK or US laws is preferred
- Strong proficiency in English
- High standards of honesty, integrity, and ethical conduct
- Proactive and team-oriented approach
Areas of Work / Key Responsibilities
The role will broadly cover the following:
1. Company Secretarial Functions (Approximately 10%)
- Assistance in Board Meetings, Annual General Meetings, Extraordinary General Meetings, and CSR meetings
- Maintenance of statutory registers
- Filing necessary forms with the Registrar of Companies
- Acting as Company Secretary under the Companies Act, 2013, where mandatorily required
2. Corporate & Commercial Responsibilities (Approximately 90%)
- Providing practical and commercial legal advice on day-to-day business matters
- Drafting, reviewing, and negotiating commercial contracts and agreements
- Creating and updating precedent agreements and internal legal processes
- Supporting dispute resolution processes
- Conducting legal training for business teams
- Ensuring compliance with applicable Indian laws and foreign exchange regulations, including RBI compliance
- Handling claims and internal investigations
- Advising on intellectual property protection
- Ensuring ESG and CSR compliance where applicable
- Managing statutory compliances for overseas subsidiaries
- Ensuring compliance with investor and lender agreements
- Supporting corporate governance matters and stakeholder meetings
- Advising on overseas entity setup requirements
